DRAFT PROJECT ASSIGNMENT AGREEMENT

Today, on the …./…../20…. the undersigned:

A)      Mr./Mrs./Miss/Ms ……………. (Full name), resident at ……, street …… number ……, holder of the Police Identification Card (or of the ………………………. Passport) number ………., with T.R.N. (Tax Registration Number): ………. of the F.S.B. (Fiscal Service Branch) D.O.Y.: ………..  and B) Mr./ Mrs./Miss/Ms ……………., solicitor or notary public, resident at ……, street …… number ……, with registration number ……, member of “Forallgreeks”, hereafter called for brevity the “ASSIGNEE” agreed, stipulated and mutually accepted the following:

1) THE PRINCIPAL assigns to the ASSIGNEE and he/she undertakes with his/her associates, respectively, to provide to him/her the following services:

To handle on behalf of the his/her principal the entire procedure that will be required for the completion of the purchase/ sale (see Purchase  – Sale) ……………. of the real estate property described below: …………….

Such procedure comprises the issue of the documents/ certificates necessary, the drafting and filing of the transfer tax statements with the competent Tax Branch Service (D.O.Y.), the drafting and execution of the notarial deed of buy and sale and the registration of the contract with the competent Land Registry/ Cadastral Bureau.

Upon the completion of the procedure, the assignee shall send to the principal a complete file, which will comprise the validated copy of the buy and sell contract, the registration certificate with the Land Registry/ Cadastral Bureau, as well as copies of the certificates that were attached to the notarial deed.

The principal undertakes the obligation to send a special power of attorney to the ……………. (Assignee), in accordance with the instructions of the assignee, so that such assignee may be able to proceed with the above actions for the completion of the buy and sale. The assignee undertakes the obligation to provide, either by telephone, or in meetings, all of the information necessary related to the case of his/her principal, while parallel to this, is obligated to provide the proper legal, notarial, tax and financial advice throughout the duration of the collaboration.

The overall cost of the completion of the buy and sale including Value Added Tax (VAT) was estimated in the amount of Euros ……………., including expenses for the issue of certificates, notarial costs, funds, cost for transcription in the Land Registry and so on. The payment of the expenses shall be made by instalments as follows: …………….

PROVISION OF WARRANTY:

It is explicitly agreed between the parties that, in the case where the principal does not receive the expected quality services and the agreement in question has not been observed in its entirety or in parts thereof, he/she shall have the right to require in writing the termination of the present collaboration, before the completion of his/ her case.

In this case, the assignee is obligated to return to the principal 50% of the fees paid by him/her, once firstly they deduct the expenses that have been incurred on behalf of his/her principal and which shall arise from respective receipts.

The agreement hereby was drafted in two identical copies, where each party received one off.
